Delays caused by the Client's failure to meet these responsibilities may impact project timelines and costs.
Lodon, LLC performs all professional services as an independent contractor. Nothing in these Terms or any SOW shall be construed to create a partnership, joint venture, employment, or agency relationship between Lodon, LLC and any Client.
All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the exclusive property of Lodon, LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The compilation of all Content on this Website is the exclusive property of Lodon, LLC.
Lodon, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website Content for your personal or internal business purposes. FOR PROFESSIONAL SERVICES ENGAGEMENTS, THE LIMITATION OF LIABILITY SHALL BE AS SET FORTH IN THE APPLICABLE STATEMENT OF WORK.
You agree to indemnify, defend, and hold harmless Lodon, LLC and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Website or Services; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any claim that your use of the Website or Services caused damage to a third party.
In the course of providing professional services, Lodon, LLC may receive confidential or proprietary information from Clients. The handling of such confidential information shall be governed by the confidentiality provisions of the applicable Statement of Work or, in the absence thereof, by applicable law. Lodon, LLC employs commercially reasonable measures to protect confidential client information.
We reserve the right, in our sole discretion and without prior notice or liability, to terminate or suspend your access to the Website for any reason, including without limitation for breach of these Terms. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
